POLICIES

Assignments & Booth Sharing
Exhibitors shall not share, assign, sublet, transfer or sell its rights hereunder to a third-party, unless authorized in writing by the show Organizer. Interested parties need to contact the show Organizer regarding the options and pricing.

Cancellation of Participation by Exhibitor
All Exhibitor participation cancellations must be received by the Organizer, in writing. The date of cancellation shall be the date that Organizer received the written cancellation.

If your booth is cancelled on or before August 15, 2008, you will be refunded 25% of your booth price (1/2 of your deposit). Your entire payment will be forfeited if you cancel after August 15, 2008.

Exhibitor Breach
Organizer reserves the right to cancel the Exhibitor’s participation if the Exhibitor breaches any of its obligations or does not comply with the terms and conditions of the Contract including, but not limited to, failure to make any payment that is due as per this Contract.

Downsizing Policy
All downsizing requests shall become effective when approved by Organizer. In the event that the Exhibitor, after downsizing, cancels participation, the cancellation fees will be based on the original exhibition space.

Space Assignment, Floor Plan Revisions and Relocation
Although Organizer will attempt to accommodate Exhibitor requests for specific booths, no guarantees can be made that the Exhibitor will be assigned the specific booth(s) requested.

Organizer retains the exclusive right to revise the exhibition floor plan and/or move previously assigned Exhibitors as necessary. Organizer will make every attempt to meet Exhibitor’s needs.

Attendees
Organizer makes no representations or warranties with respect to the demographic nature and/or number of Exhibitors and/or attendees.

Cancellation or Change of Event
In the event that the premises in which the trade show is conducted should become unfit for occupancy or substantially interfered with by reason of any cause or causes not reasonably within the control of Organizer or its agents, the trade show may be canceled or moved to another appropriate location, at the sole discretion of the Organizer.

Organizer shall not be responsible for delays, damage, loss, increased costs, or other unfavorable conditions arising by virtue of cause not reasonably within the control of Organizer. Causes for such action shall include, but are not limited to: fire, casualty, flood, epidemic, earthquake, explosion, accident, blockage, embargo, inclement weather, governmental restraints, act of public enemy riot or civil disturbance, impairment or act of inadequate transportation, inability to secure sufficient labor, technical or other personnel, municipal, state or federal laws, or act of God. Should the Organizer terminate this agreement pursuant to the provisions of the section, the Exhibitor waives claims for damages rising there from. Refund in the event of termination shall be made to Exhibitors in the amount of original amount of original exhibit fee.

Limitation of Liability
Exhibitor agrees to make no claim for any reason whatsoever against Organizer for loss, theft, damage, or destruction of goods; nor for any injury, including death, to himself, employees, agents, or representatives; nor for any damage of any nature, including damage to his/her business for failure to provide exhibit space; nor for failure to hold the trade show as scheduled; nor for any action or omission of the Organizer.

The Exhibitor is solely responsible for their own exhibit materials and products and is required to insure exhibit and products from loss or damage from any cause whatsoever. It is understood that all property of an Exhibitor is in his/her care, custody and control in transit to or from or within the confines of the exhibit hall. Organizer shall bear no responsibility for the safety of the Exhibitor, its personnel, employees, agents, or representatives or personal property.

Insurance
The Exhibitor and Exhibitor-appointed contractor(s) agree to obtain via their means adequate personal and property damage liability (general liability) and worker’s compensation insurance. The insurance is also to include adequate fire and theft coverage for the Exhibitor’s owned or leased property while on premises at the trade show. MOM2B Trade Show shall be listed as an additional insured on said policy.

Security
Organizer will provide unarmed guard services on premise during the hours the exhibit area is closed for load-in, show days and load-out. However, the Exhibitor is solely and fully responsible for its own exhibit materials and should insure its exhibit against loss or damage from any cause whatsoever.

It is understood that all property of Exhibitor shall remain in the Exhibitor’s custody and control in transit to or from or within the confines of the Cooper Design Space. Exhibitor is responsible for their own safety, health, liability, fire, theft, earthquake and any other types of damages. Exhibitor is solely responsible for providing insurance for these damages. The Organizer and the Cooper Design Space assume neither responsibility nor liability for an Exhibitor’s loss or damage from any cause whatsoever.

Booth Construction
The Exhibitor shall abide by all regulations set forth by Organizer, the facility, local safety and fire regulations. will provide detailed information on these regulations. The Exhibitors approval and/or compliance with regulations does not guarantee Organizer’s approval or opinion on the structural safety of the display. The Exhibitor and its display company become solely liable for the safety of the exhibit.

The Exhibitor hereby represents to Organizer that the Exhibitor has taken all precautions necessary to ensure the structural integrity of their exhibit design and the proper construction and safety of the exhibit itself when constructed.

Exhibitor hereby agrees to hold harmless the Organizer, its officers, employees, directors, partners, agents, representatives, parent, affiliates, subsidiary companies, the exhibition facility and others lawfully at the Trade Show from and against any claim, loss, liability, or damage suffered as a result of any claim made in connection with the exhibit construction of an unsafe exhibit.

Americans with Disabilities Act (ADA)
Exhibitor must be in full compliance with the Americans with Disabilities Act. Exhibitor agrees to indemnify and hold harmless Organizer, its officers, employees, directors, agents, representatives, parent, affiliates or subsidiary companies from any claim or liability that may result from Exhibitor’s failure to comply fully with the ADA.

Booth Personnel
Exhibitor representatives and Exhibitor badges are limited to personnel engaged in the display, demonstration and application of the company’s product or service. Booth personnel shall wear “Exhibitor” badge identification furnished by the Organizer at all times while in the trade show area. All other employees and representatives of exhibiting companies, including friends and family, must register as Attendees. All exhibits must have personnel present during trade show hours.


We do not allow the distribution of marketing materials anywhere other than your booth. This includes common areas (all public areas).
